CONSTITUTION.

1.      The group shall be called The Pleasley Pit Nature Study Group.

2.      The aims of the Group are;

a)                  To study, record, promote, and protect all species of wildlife.

b)                 To maintain and increase wildlife habitat within the designated boundaries.

c)                  To co-operate with landowners and groups of similar interest in the promotion of the above.

3.      Membership.

 This will be open to any individual who supports the aims of the Group, subject to the committee’s approval.

4.      Officers.
a)                  At the Annual General Meeting the Group will elect a Management Committee including

a Chairman, Secretary and Treasurer and any other officers as the meeting decides are necessary.

b)                 These officers will hold office until the conclusion of the next AGM, but will be eligible for

Re- election.

            c)            Appointment to the Management Committee is at the invitation of the existing

Committee, or by a seconded nomination at the AGM, both for approval at the AGM.

5.      Meetings.

 a)                  The Group shall hold an AGM for all members at which present shall elect a Chairman,

Secretary and Treasurer and any other Officers as the AGM decides are necessary.

            b)            The AGM must be held within 15 months of the previous AGM.

            c)            The Group will hold a minimum of 3 meetings a year.

6.   Accounts.  

 a)                  The financial year of the Group shall run from January to December.

b)                 The Group shall keep proper accounts which shall be audited annually.

c)                  The Group shall open such accounts as it requires to conduct its business. The signatories to any account will be any 2 of the 3 elected Officers.

d)                 All members of the Group shall be entitled to inspect the accounts.

7.   Amendments.

         These rules may only be altered by a majority vote at an AGM of the Group, for which 14 days

            Notice must be given. Any questions over the interpretation of these rules shall be decided by an

            AGM.

8)      Dissolution.

a)                  If the members decide to discontinue the activities of the Group, a resolution to dissolve

The Group must be passed by a majority of the members present and voting at the AGM

Any remaining assets will be forwarded to a like minded organization of the group’s choice, decided by members present at the AGM or EGM.
